Overview

Introduction to the project

The Masterveldweg project occupies a 61-hectare site, with 36 hectares dedicated to solar panels. This setup enables substantial energy production, generating approximately 71.4 GWh annually, enough to power around 28,800 households. The project is part of the extensive renewable energy portfolio developed by Statkraft, a Norwegian company fully owned by the Norwegian state and the largest producer of renewable energy in Europe.

Environmental impact: The site, previously used for agriculture with limited biodiversity, is now repurposed to enhance local biodiversity. Native plant species are being introduced, and habitats are created to support local wildlife.

Community engagement: The project was developed in collaboration with local residents, nature organizations, ecologists and the municipality of Winterwijk. Their input has contributed to a design that integrates well with the surroundings and addresses community concerns.

Regulatory support: The Netherlands provides strong regulatory support for renewable energy projects, fostering a stable environment for solar investment.

Optimal solar location: This site is ideal for solar energy generation due to supportive municipal policies in the municipality of Winterswijk. Additionally, the site's location in the rural landscape ensures seamless integration, minimizing environmental impact.

This favourable combination of policy support, community acceptance, and environmental exemplifies how sustainable development can support environmental and community goals.

Proven expertise, financial strength, and government-backed solar investment

Statkraft, 100% owned by the Norwegian state, is Europe’s largest producer of renewable energy. With over 20 years of experience, the company operates in more than 20 countries, including the Netherlands, and employs nearly 7,000 people. Statkraft focuses on hydro, wind, and solar energy, driving the global transition to sustainable power. In Europe, Statkraft is the largest producer of renewable energy.

Statkraft holds the contract and serves as the project developer for Solarpark Masterveldweg, further ensuring the project's success with their extensive expertise in renewable energy development.

The project is fully funded by Statkraft via a mix of ordinary equity and a shareholder loan and this to be partly refinanced with this bond.

Solarpark Masterveldweg offers additional key advantages:

Experience in solar projects: Statkraft has over twenty years of experience in developing and managing solar parks. This long history shows that they know how to run projects well and handle challenges. Their recent purchase of Solarcentury, a top solar company, has improved their skills even more.

Strong contract parties: The construction of the plant as well as the operation and maintenance and asset management services of the project will be provided by Statkraft. Statkraft AS is known for being financially strong. They have received good credit ratings from major agencies. Recently, Statkraft received an "A" rating from Standard & Poor's, with a stable outlook. This means they can meet their financial responsibilities.

Government support: The Solarpark Masterveldweg project benefits from a €60.20 subsidy under the SDE++ scheme until 2039. This subsidy improves cashflow security: If the market price drops below €60.20/MWh, the project will receive subsidy to make up for the difference until a maximum price of €60.20/MWh has been received by the project.

Impact

The Sustainable Development Goals (SDGs or 'Global Goals') are part of the UN 2030 Agenda for Sustainable Development and constitute the international framework for sustainable development until 2030. These SDGs are intended to put an end to poverty, inequality, and climate change.

SDG 7: Affordable and clean energy

Statkraft is driving the transition to clean energy, contributing to Sustainable Development Goal 7 by ensuring access to affordable, reliable, sustainable, and modern energy for all. Through the provision of renewable energy to millions worldwide, Statkraft leverages its industry expertise to innovate and improve the design, diversification, management, and scalability of renewable solutions. By reducing society’s reliance on fossil fuels and making renewable energy increasingly accessible and affordable, Statkraft supports energy equity, benefiting rural communities and disadvantaged regions while promoting a sustainable energy future.

  • Expected GWh per Year: The Masterveldweg solar park is expected to generate approximately 71.4 GWh of sustainable electricity annually.
  • Expected Energy Supply for Households: This amount of energy is sufficient to supply around 28,800 households.

SDG 13: Climate action

By generating renewable energy, the Masterveldweg project helps reduce greenhouse gas emissions. Over its 30 year lifetime, it is expected to avoid approximately 839,000 tonnes of CO2 emissions.

Company structure

You are investing in Zonnepark Winterswijk Masterveldweg B.V., which is held 100% by Statkraft AS, a Norwegian company fully owned by the Norwegian state.

Statkraft has not taken out a bank loan to finance the project. In the future, it is possible that a Dutch financial institution will provide a loan which will take priority over the bond via Invesdor.

For example, if the ownership of Zonnepark Winterswijk Masterveldweg B.V. changes in the future, the new owner or investor may wish to secure bank financing. The revenue forecasts should provide sufficient capacity to cover both interest and capital repayments for the potential future bank loan as well as the current crowd bond.

Below is the ownership structure leading to Zonnepark Winterswijk Masterveldweg BV:

Purpose of financing

Icon solar power

To promote local ownership and community involvement, the project aims to raise €5,000,000 through crowdfunding. The bond terms include an interest rate of 6.5%, a term of 10 years, and capital repayment in 10 equal annual payments. The crowdfunding initiative is designed to repay the shareholders loan and enhance local engagement in the project.

This investment round will initially be open to the immediate area, followed by local, regional, national and eventually international participants. This step-by-step approach ensures that those closest to the solar farm will be the first to benefit from this investment.

The deadline for the target amount is 27 January 2025. The subscription period ends earlier when €1,000,000 is reached. The period started with a 2-week local phase, followed by a 2-week regional phase. The bonds will now be offered to the public in the Netherlands for 1 week and then 2 weeks to the public in other EU countries, up to €1,000,000.

UPDATE on 08.01.2024: Investor question & Statement Statkraft

I read in the newspaper that Statkraft has decided to cease its activities in the Netherlands. Could you please clarify what this means for investors?

Statement Statkraft: "Statkraft has decided to divest its onshore wind, solar and battery activities in the Netherlands. By focusing on fewer countries, the organization can create more focus and increase its competitiveness.

Impact of this decision

In the short term, we will continue to invest in our existing projects. The coming period will be devoted to research into the best way in which we can guarantee the economic future of both Statkraft and our projects.

To ensure that the interests of investors are not harmed, specific provisions have been included in the bond conditions (Articles 10.3 to 10.5). These conditions guarantee the continuity and financial structure of the project, regardless of possible changes in ownership. These are also included in the Key Investment Information Sheet (KIIS)."
